These Terms & Conditions (“Terms”) govern the access to and use of services provided by Sunmax Energy, operated by Yasha Terra Ventures, having its registered office at Samarpan, Savitribai Phule Nagar, Pant Nagar, Ghatkopar East, Mumbai, Maharashtra – 400075 (hereinafter referred to as “Sunmax Energy,” “we,” “us,” or “our”).

By booking or using our services through our website, communication channels, or offline engagement (“Platform”), you (“User,” “Client,” or “Customer”) agree to be bound by these Terms.

1. SERVICES

Sunmax Energy provides:

• Solar panel cleaning services

• Basic solar inspection services

• Preventive maintenance support

• Lead generation and partner coordination for on-site execution

Services may be delivered directly by Sunmax Energy or through authorized local service partners.

2. BOOKING & PAYMENT TERMS

a) Pricing Model

• Services are charged on a per panel, per visit basis, unless otherwise agreed.

• Minimum visit charges may apply.

• Prices may vary based on site conditions, panel accessibility, and location.

b) Payment

• Payment may be required in advance or immediately upon completion.

• Invoices shall include applicable GST as per Indian tax laws.

• Failure to complete payment may result in service suspension.

3. SERVICE EXECUTION CONDITIONS

The Client agrees to:

• Provide safe and unobstructed access to the rooftop or installation area.

• Ensure structural safety and secure mounting of panels.

• Inform Sunmax Energy of any known electrical or structural risks.

Sunmax Energy reserves the right to refuse or halt service if:

• Site conditions are unsafe.

• Severe weather conditions exist.

• There is risk of structural damage or personal injury.

4. PERFORMANCE DISCLAIMER

• Solar output varies due to weather, shading, system age, inverter health, wiring, and environmental factors.

• Cleaning improves surface efficiency but does not guarantee specific financial returns.

• Any indicative performance improvement examples are illustrative and not contractual guarantees.

• Inverter readings may be used for demonstration purposes; however, generation varies daily.

5. PARTNER EXECUTION MODEL

Sunmax Energy may assign services to authorized local execution partners.

In such cases:

• Sunmax Energy acts as a service coordinator.

• Partners operate under agreed service standards.

• Clients agree that service personnel may represent Sunmax Energy or affiliated partners.

6. CANCELLATION & REFUND

Refunds and cancellations shall be governed by the published Refund Policy available on the Platform.

Failure to provide site access after technician arrival may result in a visit charge.

7. LIABILITY LIMITATION

To the maximum extent permitted under Indian law:

• Sunmax Energy shall not be liable for indirect, incidental, or consequential damages.

• Liability shall not exceed the total service amount paid.

• We are not responsible for:

  • Pre-existing panel defects

  • Inverter malfunctions

  • Wiring issues

  • Structural weaknesses

  • Weather-related generation loss

Cleaning does not repair defective solar equipment.

8. DAMAGE POLICY

While all reasonable precautions are taken:

• Minor cosmetic water marks may occur temporarily.

• Sunmax Energy shall not be liable for damages arising from:

  • Pre-existing cracks

  • Weak mounting structures

  • Fragile glass panels

  • Undisclosed structural risks

Claims for damage must be reported within 24 hours of service completion.

9. USER CONDUCT

Users shall not:

• Misrepresent system capacity or site conditions.

• Engage in abusive or unsafe behavior toward service staff.

• Misuse promotional offers.

Sunmax Energy reserves the right to deny future services for misconduct.

10. INTELLECTUAL PROPERTY

All logos, branding, website content, and materials are the intellectual property of Sunmax Energy and may not be reproduced without written permission.

11. FORCE MAJEURE

Sunmax Energy shall not be liable for delay or failure in performance due to events beyond reasonable control, including but not limited to:

• Natural disasters

• Government restrictions

• Labor disruptions

• Extreme weather

• Power grid failures

12. DATA PROTECTION

Use of personal information is governed by our Privacy Policy, available on the Platform.

13. AMENDMENTS

Sunmax Energy reserves the right to modify these Terms at any time. Updated Terms shall become effective upon posting on the Platform.

Continued use of services constitutes acceptance of revised Terms.

14. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India.

Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
